This Agreement is between Summit Marketing Group, a company operating in Frederick, MD, and the company or person accessing or using the Services (the "Customer"). By signing up, accessing, or using the Services, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions set forth herein.

Definitions

"Services" refers to the digital marketing solutions and related services provided by Summit Marketing Group, including website design, SEO optimization, and automation services."Customer" means the company or person who accesses or uses the Services."Customer Content" means any data, information, or material provided or submitted by Customer to the Services.

Access and Use of the Services

2.1 Summit Marketing Group grants Customer a non-exclusive, non-transferable, limited right to access and use the Services during the Subscription Period, subject to the terms of this Agreement.
2.2 Customer agrees to use the Services only for lawful purposes and in compliance with all applicable laws and regulations.
2.3 Customer shall not:
(a) copy, modify, or create derivative works of the Services;
(b) reverse engineer, decompile, or disassemble the Services;
(c) sell, resell, rent, lease, or sublicense the Services;
(d) use the Services to store or transmit infringing, libelous, or otherwise unlawful material.

Intellectual Property

3.1 Summit Marketing Group retains all right, title, and interest in and to the Services, including all intellectual property rights therein.
3.2 Customer retains all right, title, and interest in and to the Customer Content.

Privacy and Data Protection

4.1 Summit Marketing Group's collection, use, and disclosure of personal information in connection with the Services is governed by its Privacy Policy, incorporated herein by reference.
4.2 Customer acknowledges and agrees that Summit Marketing Group may use third-party AI models to enhance the Services and that Customer Content may be shared with these models for processing and analysis.

Fees and Payment

5.1 Customer shall pay applicable fees for the Services as listed on Summit Marketing Group's pricing page or as otherwise agreed in writing.
5.2 Summit Marketing Group reserves the right to modify its pricing with reasonable notice to Customer. Changes will take effect at the start of the next Subscription Period.
5.3 Customer is responsible for all taxes, duties, and charges associated with the Services, excluding taxes based on Summit Marketing Group's net income.

Term and Termination

6.1 This Agreement commences on the Effective Date and continues until terminated by either party.
6.2 Either party may terminate this Agreement at any time with written notice.
6.3 Upon termination, Customer's access to the Services ceases, and Customer shall delete all copies of related materials.

Disclaimer of Warranties

7.1 The Services are provided "as is" and "as available," without warranties of any kind, express or implied.
7.2 Summit Marketing Group does not guarantee that the Services will meet all of Customer's requirements or be uninterrupted or error-free.

Limitation of Liability

8.1 Summit Marketing Group is not liable for indirect, incidental, special, consequential, or punitive damages arising from this Agreement or the Services.
8.2 Total liability of Summit Marketing Group shall not exceed the fees paid by Customer in the 12 months prior to the claim.

Governing Law and Dispute Resolution

9.1 This Agreement is governed by the laws of Maryland, USA.
9.2 Disputes will be resolved through arbitration in Maryland or through Maryland courts, at the initiating party's choice.

Miscellaneous

10.1 This Agreement constitutes the entire agreement between the parties, superseding prior agreements.
10.2 Summit Marketing Group may modify this Agreement by updating the website or notifying Customers by email.
10.3 If any part of this Agreement is invalid or unenforceable, the rest remains in effect.

By using the Services of Summit Marketing Group, Customer acknowledges having read, understood, and agreed to these terms.
